1. Introduction

Welcome to NextSoftware, a brand operated by AppWise ("we", "us", "our"). These Terms of Service ("Terms") govern your use of our website, products, and services at nextsoftware.dev. By purchasing or using any NextSoftware extension, you agree to be bound by these Terms.

2. GPL Licensing & Asset Classification

NextSoftware extensions contain two categories of assets, each governed by different licensing terms:

GPL-Licensed Assets (PHP Code)

All PHP code included in NextSoftware extensions is released under the GNU General Public License v2 (GPL v2). In accordance with the GPL, you are free to use, modify, and redistribute PHP code under the terms of the GPL v2 license. At the time these Terms were last updated, the NextSoftware catalog consists of the Smart Local Google Analytics extension, whose PHP code is released under GPL v2 in line with this policy. Any future extensions added to the catalog will follow the same dual-licensing model described in this section.

Proprietary Assets (Non-PHP)

Images, CSS files, JavaScript files, templates, design elements, manuals, and documentation are NOT released under the GPL. These assets are released under the NextSoftware Proprietary Use License. They are copyrighted materials and may not be redistributed, sublicensed, or used outside of the licensed product without prior written permission from NextSoftware.

This dual-licensing model is consistent with Joomla ecosystem standards and allows us to sustain ongoing development and support while respecting the open-source nature of PHP code.

3. Membership & Usage Rights

Upon purchase of a membership or subscription, NextSoftware grants you access to the associated extensions, updates, and support for the duration of your active membership.

• Active members may install and use extensions on an unlimited number of domains, including personal sites, client projects, and commercial websites.
• Membership authorizes usage for personal, client, and commercial purposes.
• PHP code retains its GPL v2 rights regardless of membership status. Proprietary assets (CSS, JS, images, documentation) are licensed for use only while your membership is active.
• Access to product downloads, updates, and support requires a valid Download ID tied to an active membership.

4. Modifications

You are free to modify the code and assets of NextSoftware extensions to fit your needs, subject to the following terms:

• GPL PHP code: Modified PHP code may be used and redistributed in accordance with the GPL v2 license.
• Proprietary assets: Modified CSS, JavaScript, images, templates, and documentation remain subject to the NextSoftware Proprietary Use License and may not be redistributed, shared, or made publicly available.

NextSoftware is not obligated to provide support for modified versions of its products.

5. Unauthorized Use & Redistribution

The following actions are prohibited without prior written consent from NextSoftware:

• Redistributing, reselling, leasing, or sublicensing the product bundle (the complete extension package including both GPL and proprietary assets).
• Offering NextSoftware products on third-party websites, marketplaces, or download repositories.
• Sharing, publishing, or distributing proprietary assets (CSS, JS, images, templates, documentation) separately from or as part of another product.

For clarity: redistribution of GPL-licensed PHP code in isolation, under the terms of GPL v2, is permitted. However, the complete product bundle — which includes proprietary assets — may not be redistributed.

6. Member Access & Account Security

Your NextSoftware account credentials and Download IDs are for your personal use only. You are responsible for maintaining the security of your account.

• No credential sharing: Sharing your login credentials or Download IDs with unauthorized third parties is strictly prohibited. Violation may result in immediate account termination and a ban of up to 5 years by IP address, payment method, and email.
• No automated access: The use of automated downloading tools, scrapers, bots, or similar mechanisms to access or download products is prohibited.
• No transfer or sub-licensing: You may not assign, transfer, or sub-license your membership or account to another person or entity without prior written consent from NextSoftware.

7. Payment Terms

All prices are listed in EUR unless otherwise stated and, where applicable, include all sales taxes, VAT and other transaction taxes which are collected and remitted by Paddle.

Payment is processed securely through Paddle.com Market Ltd. ("Paddle"), our Merchant of Record. By completing a purchase, you authorize Paddle to charge your selected payment method and you agree to the Paddle Checkout Buyer Terms, which govern your transaction alongside these Terms.

Subscriptions renew automatically unless cancelled before the renewal date. You can manage or cancel your subscription at any time from the Customer Portal or directly through Paddle; cancellation stops future renewals but does not retroactively refund past billing periods, except as provided in section 8.

8. Refund Policy

All purchases are processed by our Merchant of Record, Paddle.com Market Ltd. ("Paddle"), and refunds are governed by the Paddle Checkout Buyer Terms.

You may request a full refund within 14 calendar days of the date of payment, for any reason and without giving a justification. This applies to one-time purchases, the first payment of a subscription, and upgrade or renewal payments.

Once a refund is issued, the associated download IDs and licenses are revoked, any related subscription is cancelled, and you agree to stop using and remove the refunded software from all installations. Refunds may be refused or reduced in cases of fraud, chargeback abuse, or license sharing in breach of this Agreement, as permitted by the Paddle Buyer Terms.

After the 14-day window, subscription renewals are non-refundable except where required by applicable consumer law; you can still cancel future renewals at any time from your Customer Portal or via Paddle.

9. Intellectual Property & Ownership

All NextSoftware extensions, proprietary assets, documentation, trademarks, and related materials are the intellectual property of NextSoftware. The source code and assets are provided under license and are not sold.

You may not claim ownership of, or credit for, any NextSoftware product. The NextSoftware name, logo, and branding may not be used without prior written permission.

GPL-licensed PHP code is subject to the ownership and redistribution terms of the GPL v2 license. All other materials remain the exclusive property of NextSoftware.

10. Limitation of Liability

NextSoftware extensions are provided "as is" without warranty of any kind. We are not liable for any damages resulting from the use or inability to use our products, including but not limited to data loss, security breaches, or business interruption.

Our total liability shall not exceed the amount you paid for the product in question.

11. Termination

We reserve the right to terminate your membership and revoke access if you violate these Terms. Upon termination, you must cease all use of proprietary assets and delete all copies. GPL-licensed PHP code already in your possession remains subject to the GPL v2 license.

Termination does not entitle you to a refund, save for the 14-day right described in section 8.

12. Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with a revised Effective date. Continued use of our products after changes constitutes acceptance of the modified Terms.
